1. Introduction

IndiaLogistics Pro (referred to as "we," "us," or "our") is a logistics service provider offering freight shipping, supply chain management, cargo transport, warehousing, and related services throughout India.

These Terms constitute a legally binding agreement between you (referred to as "you" or "your") and IndiaLogistics Pro regarding your use of our Services. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

We may modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our Services after any changes indicates your acceptance of the modified Terms.

2. Definitions

In these Terms, the following definitions apply:

• "Account" means the account created by a User to access and use the Services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on or through the Services.
• "Order" means a request to purchase Products through the Services.
• "Products" means the fruits, vegetables, and other items offered for sale through the Services.
• "Subscription" means a recurring Order for Products at specified intervals.
• "User" means an individual who accesses or uses the Services.
• "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Services.

3. Account Registration and Use

3.1 Account Creation

To use certain features of our Services, you may need to register for an Account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account.

3.2 Age Requirement

You must be at least 18 years old to create an Account and use our Services. By creating an Account, you represent and warrant that you are at least 18 years old.

3.3 One Account Per User

You may not create more than one Account without our express permission. We reserve the right to terminate any duplicate Accounts.

3.4 Account Termination

We reserve the right to suspend or terminate your Account at any time for any reason, including but not limited to violation of these Terms. You may also terminate your Account at any time by contacting our customer service.

4. Services and Pricing

4.1 Service Description

IndiaLogistics Pro offers various logistics services, including but not limited to:

• Freight shipping via road, rail, air, and sea
• Warehousing and distribution
• Supply chain management and consulting
• Customs clearance and documentation
• Specialized cargo handling for temperature-controlled goods, hazardous materials, and oversized shipments

4.2 Service Availability

Services may vary by location and are subject to availability. We reserve the right to refuse service, limit quantities, or restrict orders at our discretion.

4.3 Pricing and Payment

Prices for our Services are subject to change without notice. We strive to provide accurate pricing information, but errors may occur. If we discover an error in the price of Services you have ordered, we will inform you and give you the option of continuing with the order at the correct price or canceling it.

Payment terms are specified in your service agreement or quote. Unless otherwise agreed in writing, payment is due within 30 days of invoice date. Late payments may incur interest charges and suspension of Services.

4.4 Taxes and Duties

Prices are exclusive of applicable taxes, customs duties, and other governmental charges, which are your responsibility unless otherwise specified.

5. User Obligations and Restrictions

5.1 Accurate Information

You agree to provide accurate, complete, and up-to-date information about yourself, your shipments, and any other information required for our Services.

5.2 Compliance with Laws

You agree to comply with all applicable laws, regulations, and industry standards related to your use of our Services, including but not limited to those governing:

• Shipping and transportation of goods
• Import and export regulations
• Dangerous goods handling
• Taxation and customs duties
• Data protection and privacy

5.3 Prohibited Items

You agree not to ship prohibited or restricted items through our Services, including but not limited to:

• Illegal substances or contraband
• Firearms, explosives, or weapons
• Hazardous materials not properly declared and packaged
• Counterfeit goods or items infringing intellectual property rights
• Perishable items not suitable for the selected shipping method
• Cash, currency, or negotiable instruments
• Any items prohibited by law or carrier regulations

5.4 Prohibited Activities

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe the rights of others
• Attempt to gain unauthorized access to our systems or interfere with Service operations
• Use our Services for fraudulent purposes
• Provide false or misleading information
• Transmit malware, viruses, or other harmful code
• Use our Services to harass, abuse, or harm another person

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by IndiaLogistics Pro, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes, subject to these Terms. This license does not include:

• Modifying or copying our materials
• Using our materials for commercial purposes
• Attempting to decompile or reverse engineer any software contained in our Services
• Removing any copyright or other proprietary notations
• Transferring the materials to another person or "mirroring" the materials on any other server

6.3 User Content

You retain ownership of any content you submit to us. By providing content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing our Services.

6.4 Feedback

If you provide feedback, ideas, or suggestions regarding our Services ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable right to use, share, and commercialize your Feedback for any purpose without compensation to you.

7. Liability and Indemnification

7.1 Limitation of Liability

To the maximum extent permitted by law, in no event shall IndiaLogistics Pro, its directors, employees, partners, agents, suppliers, or affiliates be liable for:

• Any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses
• Any damages arising from your use of or inability to use our Services
• Any damages arising from unauthorized access to or use of our servers or any personal information stored therein
• Any damages arising from interruption or cessation of transmission to or from our Services
• Any damages arising from bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services

7.2 Liability Caps

Our liability for loss or damage to cargo is limited as specified in our service agreements and applicable transportation conventions (such as the Carriage of Goods by Sea Act, Warsaw Convention, or Montreal Convention). Unless higher value is declared and additional charges paid, our liability for loss or damage is limited to:

• For road transport: INR 50 per kilogram
• For air freight: 19 SDRs per kilogram
• For sea freight: 2 SDRs per kilogram or 666.67 SDRs per package, whichever is higher
• For warehousing: INR 1,000 per shipment

7.3 Indemnification

You agree to defend, indemnify, and hold harmless IndiaLogistics Pro, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your violation of any rights of a third party
• Your misuse of our Services
• Your shipment of prohibited items
• Any inaccurate or incomplete information you provide

7.4 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure is a result of acts of nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, or interruption or failure of electricity or telephone service.

8. Dispute Resolution

8.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or your use of our Services shall be governed by the laws of India, without regard to its conflict of law principles.

8.2 Dispute Resolution Process

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved as follows:

1. Informal Resolution: The parties shall attempt in good faith to resolve any dispute promptly by negotiation between executives who have authority to settle the controversy.
2. Mediation: If the dispute cannot be settled through negotiation, the parties agree to try in good faith to settle the dispute by mediation administered by a mutually agreed-upon mediator before resorting to arbitration or litigation.
3. Arbitration: If the dispute is not resolved through negotiation or mediation within 60 days, it shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall take place in Ahmedabad, Gujarat, India, and shall be conducted in English.

8.3 Jurisdiction

Subject to the arbitration provisions above, you agree that the courts located in Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any disputes arising under these Terms.

8.4 Limitation Period

Any cause of action or claim you may have arising out of or relating to these Terms or our Services must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

9. Privacy and Data Protection

Our Privacy Policy, available at privacy-policy.html, governs the collection, use, and disclosure of your personal information. By using our Services, you consent to the processing of your personal information as described in our Privacy Policy.

10. Termination

10.1 Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

10.2 Termination by You

You may terminate your Account by providing written notice to us. Termination will be effective upon our receipt and processing of your request.

10.3 Effect of Termination

Upon termination, your right to use our Services will immediately cease. The following provisions shall survive termination: Intellectual Property Rights, Liability and Indemnification, Dispute Resolution, and any other provisions that by their nature should survive termination.

10.4 Outstanding Obligations

Termination does not relieve you of any obligation to pay outstanding fees or charges incurred prior to termination.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and IndiaLogistics Pro regarding your use of our Services.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

11.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of IndiaLogistics Pro.

11.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

11.5 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

11.6 Notices

Any notices or other communications provided by us under these Terms will be given by posting to our website or by email to the address you provide. Notices from you to us should be sent to the contact information provided at the end of these Terms.

11.7 Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and IndiaLogistics Pro.
